Terms of Service

1. What the Service is

AvenueSnipe is a software and automation tool for eBay sellers. It provides tools that can help you discover and analyze products, import product information from Amazon and other suppliers (including prices, stock, shipping details, descriptions, attributes, and images), create and edit eBay listings, apply image overlays, monitor products and inventory, sync orders, and automate related marketplace workflows.

AvenueSnipe is not a retailer, marketplace, supplier, shipping carrier, payment processor, or financial adviser. It does not sell products on your behalf, does not buy or hold inventory, and does not fulfil orders. You remain the seller of record for everything you do through the Service.

Nothing in these Terms, the Service, or its marketing promises or implies that using AvenueSnipe will produce any particular sales, revenue, profit, ranking, or other marketplace outcome. The Service provides tools; results depend on factors outside our control, including market conditions, competition, your listings and product choices, and the rules and behaviour of third-party marketplaces and suppliers.

2. Eligibility and accounts

The Service is currently offered through early access. You must be at least 18 years old and legally able to enter into a binding contract to use the Service.

You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us promptly if you believe your account has been compromised. You may delete your account at any time from Settings → Account (see our Privacy Policy and our Subscription, Cancellation & Refund Terms for what happens to your data and subscription).

3. Early access and plans

AvenueSnipe is in early access and is available as a paid subscription. During early access, features may be added, changed, or removed as we develop the platform; we will use reasonable efforts to communicate significant changes.

The current plan is the Early Access plan at $30/month (or such amount as published on the website). Paying for the plan subscribes you to the version of the plan and pricing published when you subscribe. Early access is not a promise of any particular future feature, roadmap item, or price, and pricing may change after the early access period.

4. Fees, payment, and renewal

Access to the Service requires an active paid subscription. There is no free trial and no free plan.

Subscription fees are charged in advance. You will be charged when you subscribe and automatically on each renewal date until you cancel. Payment is processed by our payment provider, Stripe, and your payment details are handled by Stripe; we do not store full payment-card details.

You can cancel at any time, and manage your payment method, invoices, and subscription from the Stripe Customer Portal (Settings → Account → Manage billing). Cancellation, failed-payment handling, and our refund policy are described in our Subscription, Cancellation & Refund Terms.

We may change subscription fees for future billing periods. We will give you advance notice (by email and by updating the published price) before a fee change takes effect on a renewal. Continued use of the Service after a fee change constitutes acceptance of the new fee.

5. Marketplace, supplier, and product data

AvenueSnipe obtains and presents information from and about third-party sources, including Amazon and other suppliers, eBay, and other marketplaces. This information is provided to help you work, but it is not guaranteed. Information obtained through the Service — including but not limited to product prices, stock or availability, shipping costs and estimates, delivery estimates, seller information, product attributes, marketplace information, Amazon/eBay data, and other third-party data — can change, become unavailable or delayed, be incomplete or inaccurate, or differ from what is ultimately shown by the source marketplace.

You are responsible for verifying important information yourself before you publish a listing or fulfil a transaction, including by checking the source marketplace directly where appropriate.

6. No guarantee of sales or profit

AvenueSnipe does not guarantee any particular business outcome. We make no guarantee regarding:

• sales, orders, revenue, profit, or margins
• product availability or the availability of any marketplace or supplier data
• eBay search placement, visibility, or ranking of your listings
• eBay or other account health or standing
• successful publication of any listing, or successful fulfilment of any order
• uninterrupted or error-free access to any marketplace or third-party service

7. Your responsibility for listings and content

You are solely responsible for the listings you create, publish, modify, or manage using AvenueSnipe, and for the accuracy and legality of the content you import, generate, or publish. This includes responsibility for:

• the accuracy of titles, descriptions, prices, quantities, shipping information, item specifics, and all other listing content
• images and other media you publish, including ensuring you have the rights to use them
• product claims, safety, compliance, and legal requirements applicable to the products you sell
• respecting trademarks, copyrights, and other intellectual-property rights
• complying with eBay’s rules and policies and with all applicable laws
• ensuring the product can lawfully be sold where you sell it

8. Third-party content and supplier content

AvenueSnipe may let you import supplier product information and images, and may present content that originated from Amazon, eBay, suppliers, and other third parties. Such content remains the property of, and is controlled by, its respective owners. By providing tools to import or display that content, AvenueSnipe does not represent that you automatically have rights to every third-party image, description, trademark, or other creative work you encounter.

You are responsible for ensuring that any content you publish or otherwise use through the Service is content you are permitted to use, and you must not use AvenueSnipe to intentionally infringe anyone’s intellectual-property rights.

9. Marketplace policies and third-party services

The Service is designed to work with third-party marketplaces and services, including eBay, Amazon, and suppliers. You are responsible for complying with the rules, policies, terms, seller standards, and requirements of eBay, Amazon, and any other marketplace or supplier you use, and for verifying current marketplace requirements yourself where appropriate.

The fact that AvenueSnipe technically supports a workflow does not mean that workflow is permitted by a third-party marketplace or supplier, and AvenueSnipe does not guarantee that any workflow is permitted. You remain responsible for how you use third-party services.

The Service relies on third-party services and integrations, including eBay (listings and order data via the eBay APIs), Stripe (payments and billing), ScraperAPI (data retrieval proxies), DeepSeek (AI text features), and Zoho (transactional email). These services are operated by their respective providers under their own terms, and we are not responsible for their availability, accuracy, or conduct.

10. Acceptable use

You agree not to:

• use the Service for any unlawful purpose, or in violation of eBay’s, Amazon’s, or any other third party’s terms and policies
• use the Service to infringe any third party’s intellectual-property or other rights, or to send false or misleading legal complaints
• attempt to gain unauthorised access to the Service, other users’ accounts, or our systems
• circumvent, or attempt to circumvent, subscription or service limits or access controls
• resell or commercially exploit the Service itself without our written permission
• introduce malicious software, probe, or interfere with the operation of the Service

11. Intellectual property

AvenueSnipe, including its software, design, branding, and documentation, is owned by us or our licensors. You may not copy, modify, or create derivative works of the Service except as permitted by these Terms. You retain ownership of the product, supplier, listing, and other data you import into the Service, and you grant us a limited licence to process that data to provide the Service to you.

If you believe that content on or produced through the Service infringes your copyright, trademark, or other rights, or if you wish to send us another legal notice or an abuse report, please follow the process in our Legal Notices page. We may investigate legitimate complaints and take appropriate action, including restricting or removing relevant functionality or content, or suspending an account where warranted. For content you have published on eBay itself, eBay’s own reporting and removal processes apply.

12. Suspension and termination

You may stop using the Service and cancel your subscription at any time (see our Subscription, Cancellation & Refund Terms), and you may delete your account at any time from Settings → Account.

We may suspend or terminate your access or account if we believe, acting reasonably, that:

• you have breached these Terms, including the acceptable-use rules
• your account is involved in abuse, fraud, unlawful activity, or repeated intellectual-property complaints
• you are attempting to circumvent service limits or access controls
• your use of the Service otherwise misuses the platform, or creates a material risk to AvenueSnipe or to other users

13. Termination consequences

On suspension or termination, your right to use the Service ends. Where we suspend or terminate, we will generally give you reasonable notice where it is practicable to do so and where doing so would not undermine the reason for the action. Your data is handled in accordance with our Privacy Policy; if you delete your account, we delete the data associated with it in line with that policy.

14. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will meet your business expectations, that any particular business outcome will be achieved, that scraped or marketplace data will be accurate or current, or that the Service will be uninterrupted, secure, or error-free. Sections 5 and 6 set out our position on data and outcomes in more detail.

15. Limitation of liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the Service.

To the maximum extent permitted by law, our total aggregate liability to you for all claims arising out of or related to these Terms or the Service will not exceed the total fees you paid us in the three months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, or for fraud.

16. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless AvenueSnipe and its personnel from and against claims, losses, and reasonable legal costs brought by third parties arising out of:

• your listings, content, or other data you import, publish, or manage through the Service
• your use or misuse of the Service
• your marketplace activity, including your interactions with eBay, Amazon, suppliers, and buyers
• your infringement of any intellectual-property or other rights, or your violation of any law or third-party terms

17. Changes to the Service

We may modify, add, or remove features of the Service from time to time, and may perform maintenance that temporarily affects availability. We will use reasonable efforts to give advance notice of scheduled maintenance that is likely to be significant.

We may discontinue the Service, or part of it, in which case we will use reasonable efforts to give you reasonable advance notice. If we discontinue the Service, we will deal with any prepaid amounts in accordance with applicable law and your consumer rights.

18. Changes to these Terms

We may update these Terms from time to time. When we do, we will post the updated Terms on this page and update the “Last updated” date.

New users accept the current version at sign-up, and we record the version and date accepted. If we make material changes to these Terms, we will use reasonable efforts to notify existing users by email, and continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

19. Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction over any dispute arising from these Terms, except that nothing in this section removes rights you may have under the mandatory consumer-protection laws of your country of residence.
